Terms & Conditions - Fili School

Important: These terms are drafted for a Germany-based company offering subscription access to digital content in the EU. Local mandatory consumer rights remain unaffected.

1. Provider and scope

These Terms & Conditions apply to the use of Fili School, a digital service provided by Maximus GmbH, Gottfriedstraße 1, 48151 Münster, Deutschland.

2. Service description

Fili School provides subscription-based access to online courses, educational videos, learning materials, course libraries, progress-related features, and related digital educational content.

The service may include accounts, subscription plans, digital content, video access, learning or activity materials, account management, customer support, and related technical features.

3. Eligibility and account

  • Users must provide accurate account and billing information.

  • Login credentials must be kept confidential.

  • Where content is intended for families, children, pupils, or minors, the adult account holder remains responsible for use of the service.

  • Users must not share accounts, bypass access controls, scrape content, interfere with the service, or use the service unlawfully.

4. Contract conclusion

A contract is concluded when the user completes the checkout process and receives confirmation of the subscription or purchase. We may refuse or cancel orders where required by law, payment failure, fraud prevention, sanctions screening, or misuse of the service.

5. Prices, taxes, invoices and payment

  • Prices are displayed before checkout and, where legally required, include applicable VAT or taxes.

  • Payments are processed by Stripe. Stripe may process payment data under its own legal responsibilities.

  • We do not store full card numbers or complete payment credentials on our servers.

  • Invoices or receipts may be provided electronically.

6. Subscription, renewal and cancellation

Subscriptions renew automatically for the selected billing period unless cancelled before renewal. Users can cancel through the account area, app store subscription settings, Stripe customer portal, or by contacting support where these options are available. Cancellation ends access at the end of the already paid billing period unless mandatory law provides otherwise.

7. Trial periods, promotions and plan changes

Trial or promotional offers may be limited to one per user or household and may convert into a paid subscription if this was clearly disclosed before signup. Changes to plan scope, price, or billing cycle will be communicated as required by law.

8. Digital content and access

Access to digital content starts after successful payment or activation. Content may be updated, replaced, improved, or removed for legal, technical, security, licensing, or product reasons, provided that mandatory consumer rights remain unaffected.

9. Right of withdrawal

Consumers in the EU generally have a 14-day right of withdrawal for distance contracts. For digital content or digital services, this right may expire if the user expressly agrees that performance starts before the end of the withdrawal period and acknowledges that the right of withdrawal will be lost once performance begins, where applicable under EU/German consumer law. Details are provided in the separate Withdrawal Policy.

10. Refunds

Refunds are handled according to the Withdrawal Policy, mandatory consumer law, and the payment/app-store rules that apply to the purchase. After immediate access to digital content has started with the required consent and acknowledgement, refunds are generally not granted unless required by law or approved voluntarily.

11. Intellectual property and permitted use

All texts, videos, designs, activities, course materials, illustrations, software, trademarks, and platform content are protected by copyright and other rights. Users receive a limited, non-exclusive, non-transferable right to use the service for private or internal educational purposes during the active subscription.

Users may not copy, publish, resell, sublicense, distribute, record, download where not expressly allowed, share logins, or make content available to third parties.

12. User content and communication

If the service allows comments, feedback, uploads, messages, support requests, or similar input, users must ensure that their content is lawful and does not infringe third-party rights. We may remove or restrict unlawful, abusive, misleading, infringing, or security-risk content and may suspend accounts where necessary.

For notices about illegal content or service misuse, users and authorities may contact us at [email protected]. Please include enough information to identify the relevant content, account, or transaction.

14. Availability and technical requirements

We aim to provide reliable access but do not guarantee uninterrupted availability. Temporary interruptions may occur due to maintenance, updates, hosting, security events, third-party providers, network issues, or force majeure. Users are responsible for compatible devices, internet access, and browser/app updates.

15. Warranty and liability

Mandatory statutory rights remain unaffected. We are liable without limitation for intent, gross negligence, injury to life, body or health, and mandatory product liability. For slight negligence, liability is limited to foreseeable typical damages for breach of essential contractual obligations.

16. Termination and suspension

Users may stop using the service and cancel subscriptions as described above. We may suspend or terminate access where users materially breach these terms, misuse the service, fail payment, violate law, or create security risks. Mandatory rights remain unaffected.

17. Changes to these terms

We may update these terms where needed for legal, technical, security, or product reasons. Material changes will be communicated in advance where required. Continued use after the effective date may constitute acceptance where legally permitted.

18. Governing law

German law applies, excluding conflict-of-law rules, while mandatory consumer protection rules of the user's country of residence remain unaffected.
